For the purposes of this Agreement, the “Seller” is referred to as the Breeder, the purchaser is referred to as the Buyer, and the animal being sold is referred to as the puppy/dog.
1. Purchase Price
The Purchase Price is agreed by the parties, with the balance due in full at Buyer’s pickup of the puppy/dog. All shipping, transportation, and handling costs are the sole responsibility of Buyer. All payments under this Agreement shall be made in U.S. Dollars.
2. Unauthorized Breeding
The puppy/dog is sold strictly as a companion. Breeding is prohibited. If the puppy/dog produces any offspring at any time:
(a) Buyer shall pay Breeder $15,000 per litter, and
(b) all warranties provided by Breeder under this Agreement shall be null and void.
3. Breeder’s Obligations
(a) Ownership
Breeder is the lawful owner of the puppy/dog and has full authority to transfer ownership to Buyer. Ownership transfers to Buyer only after full payment of the Purchase Price and execution of this Agreement by both parties.
(b) Health Insurance Recommendation
Buyer acknowledges that a health insurance policy covering hereditary and congenital conditions for at least the first two years is recommended. Coverage varies by carrier and may require an add-on.
(c) Genetic Health Warranty
Breeder provides a 2-year warranty from the puppy/dog’s date of birth against debilitating hereditary conditions. “Debilitating hereditary conditions” are hereditary conditions that severely and permanently diminish the puppy/dog’s quality of life.
If symptoms of a suspected debilitating hereditary condition arise, Buyer must notify Breeder immediately and before any diagnostic exam or medical treatment. Breeder must be given the opportunity to have the puppy/dog examined by a licensed veterinarian or specialist selected by Breeder. Buyer must supply all requested veterinary records.
If Buyer proceeds with diagnostic exams or treatment without prior consultation with Breeder, all Breeder warranties in this Agreement are null and void.
If, after examination by a licensed veterinarian selected by Breeder, the puppy/dog is diagnosed with a debilitating hereditary condition within the 2-year warranty period, Breeder will refund the full Purchase Price. Buyer is solely responsible for all veterinary, diagnostic, treatment, and related costs already incurred, as well as all future costs associated with the condition.
Buyer may instead surrender the puppy/dog to Breeder and waive any cash refund if Buyer determines they cannot continue care.
(d) No Other Warranties
Except as expressly stated in this Agreement, the puppy/dog is sold as is. Breeder makes no other warranties, expressed or implied.
4. Buyer’s Obligations
(a) Proper Care
Buyer shall provide adequate housing, protection from the elements, proper nutrition, a safe exercise area, and appropriate veterinary care throughout the puppy/dog’s lifetime.
(b) Required Veterinary Care
Buyer shall provide:
(i) routine vaccinations and/or titers;
(ii) routine treatment for internal and external parasites;
(iii) annual examinations by a licensed veterinarian.
(c) Prevention of Orthopedic Conditions
Buyer acknowledges that orthopedic conditions may arise from improper exercise or nutrition. Buyer agrees to follow the guidance of a licensed veterinarian to prevent such conditions.
(d) Sale Prohibition
Buyer is not acting as an agent. Buyer agrees that neither the puppy/dog nor any offspring may be used for research, vivisection, or be sold through commercial brokers, wholesalers, chain stores, catalog outlets, or pet stores.
(e) Restrictions on Transfer
Buyer may not transfer ownership of the puppy/dog without Breeder’s prior written consent. If Buyer is unable to keep the puppy/dog, Buyer shall contact Breeder immediately and allow Breeder to assist with vetting prospective new homes. No refunds will be issued. Buyer agrees never to surrender the puppy/dog to a shelter or rescue.
(f) No Transfer Outside the United States
The puppy/dog may not be transferred to any person residing outside the United States without Breeder’s prior written approval.
(g) Spay/Neuter Requirement
Buyer shall spay/neuter the puppy/dog and provide proof of completion to Breeder upon request. If the puppy/dog is not spayed/neutered by three years of age, Buyer shall pay Breeder a $15,000 penalty, in addition to any other remedies available to Breeder.
(h) Breach by Buyer
Any breach of Buyer obligations results in all Breeder warranties under this Agreement being null and void.
(i) Ongoing Communications
Both parties shall promptly notify the other of any change in email address or phone number. Buyer shall maintain contact with Breeder regarding the puppy/dog and respond promptly to Breeder inquiries.
(j) Remedy for Mistreatment
If Breeder has reasonable grounds to suspect willful neglect or abuse, Breeder may request that the puppy/dog be examined by a licensed veterinarian selected by a neutral mediator. Buyer shall bear the cost of the examination. If the veterinarian determines the puppy/dog has been subjected to ill-treatment, abuse, or neglect:
(a) Breeder shall have the right to take full possession of the puppy/dog and its transfer papers/registration; and
(b) all Breeder warranties in this Agreement shall be null and void.
If Breeder reclaims the puppy/dog under this section, Buyer is not entitled to any refund.
(k) Agreement to Mediate
If a dispute arises out of or relates to this Agreement and cannot be resolved through negotiation, the parties shall attempt to resolve the dispute through mediation using a neutral mediator before pursuing arbitration or litigation. Mediation shall be confidential.
5. Governing Law
This Agreement shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
6. Miscellaneous
This Agreement constitutes the entire agreement between Breeder and Buyer. No assignment or transfer of rights or obligations may occur without prior written consent. Modifications must be in writing and signed by both parties.
If any provision is deemed unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remainder of the Agreement shall remain in full force and effect.
This Agreement may be executed in counterparts, including electronically, each of which shall be deemed an original.
IN WITNESS WHEREOF, Breeder and Buyer execute this Agreement as of the Effective Date.
